Welcome to ID2Solve™ ("ID2Solve," "we," "us," or "our"). These Terms & Conditions("Terms") govern your access to and use of the website located at id2solve.com (the "Site"),and your engagement with ID2Solve Management Consultants for advisory services,including but not limited to our Advisory Sprint and Consivara™ engagement models. Byaccessing the Site or engaging our services, you ("Client," "you," or "your") agree to bebound by these Terms.
If you do not agree with these Terms, please do not use the Site or engage our services.
1. About ID2Solve
ID2Solve provides operations, international trade, and family-business advisory services toowners, CEOs, and leadership teams of established businesses. Our services include,without limitation, operations advisory, import/export advisory, family-business advisory,Advisory Sprint engagements, and Consivara™ monthly senior advisory access.
ID2Solve™ and Consivara™ are trademarks of ID2Solve™ Management Consultants.
2. Use of This Website
2.1 Permitted Use. You may use this Site for lawful purposes only, including to learn aboutour services and to contact us regarding a potential engagement.
2.2 Prohibited Use. You agree not to: (a) use the Site in any way that violates applicable law;(b) attempt to gain unauthorized access to the Site, its servers, or any connected systems;(c) scrape, copy, or reproduce Site content for commercial purposes without our written consent; or (d) interfere with the proper functioning of the Site.
2.3 No Reliance on Website Content. Content on this Site — including articles, insights,FAQs, and general commentary on trade, tariffs, operations, or business strategy — isprovided for general informational purposes only. It does not constitute professional adviceand should not be relied upon as a substitute for a formal engagement or consultationtailored to your specific business circumstances.
3. Intellectual Property
All content on this Site, including text, graphics, logos, the ID2Solve™ and Consivara™marks, and other materials, is the property of ID2Solve or its licensors and is protected byapplicable intellectual property laws. You may not reproduce, distribute, modify, or createderivative works from this content without our prior written permission.
4. Nature of Advisory Services
4.1 Advisory, Not Guaranteed Outcomes. ID2Solve provides business, operational, trade,and family-business advisory services. Our role is to provide independent judgment,analysis, and recommendations. Client remains solely responsible for all businessdecisions, and for evaluating and implementing (or declining to implement) anyrecommendation provided.
4.2 No Legal, Tax, or Financial Advice. ID2Solve is a management consulting firm.Nothing provided through the Site or in the course of an engagement constitutes legal, tax,accounting, customs-compliance, or financial advice. Clients should consult qualified,licensed professionals (attorneys, accountants, customs brokers, etc.) for such matters.
4.3 Engagement Models. Specific scope, deliverables, timelines, and fees for AdvisorySprint, Consivara™, or any custom engagement will be set out in a separate writtenengagement letter or agreement between ID2Solve and the Client ("EngagementAgreement"). In the event of a conflict between these Terms and an EngagementAgreement, the Engagement Agreement will govern with respect to that engagement.
5. Fees and Payment
Fees for advisory services are set out in the applicable Engagement Agreement. Unlessotherwise agreed in writing, invoices are due within the timeframe specified in thatagreement. ID2Solve reserves the right to suspend or terminate services for accounts withoverdue payments, subject to the terms of the applicable Engagement Agreement.
6. Confidentiality
ID2Solve understands that Clients may share sensitive business, financial, operational, orfamily information in the course of an engagement. We will treat such information asconfidential and will not disclose it to third parties except: (a) as necessary to perform theengagement (e.g., subcontracted specialists bound by confidentiality obligations); (b) asrequired by law or valid legal process; or (c) with the Client's consent. Detailedconfidentiality obligations for a specific engagement will typically be addressed in theEngagement Agreement or a separate non-disclosure agreement.
7. Client Responsibilities
Client agrees to: (a) provide accurate, complete, and timely information reasonablyrequested by ID2Solve to perform the services; (b) make appropriate personnel availablefor consultations; and (c) exercise independent business judgment regarding anyrecommendations provided.
8. Limitation of Liability
To the fullest extent permitted by applicable law, ID2Solve, its partners, consultants, andaffiliates shall not be liable for any indirect, incidental, special, consequential, or punitivedamages, or for any loss of profits, revenue, data, or business opportunity, arising out of or
related to the Site or any advisory engagement, even if advised of the possibility of suchdamages.
ID2Solve's total aggregate liability arising out of or related to any engagement shall notexceed the total fees paid by the Client to ID2Solve for the specific engagement giving riseto the claim, unless otherwise expressly agreed in an Engagement Agreement.
9. Disclaimer of Warranties
The Site and all content are provided "as is" and "as available" without warranties of anykind, express or implied, including but not limited to implied warranties of merchantability,fitness for a particular purpose, and non-infringement. ID2Solve does not warrant that theSite will be uninterrupted, error-free, or secure.
10. Indemnification
Client agrees to indemnify and hold harmless ID2Solve, its partners, consultants, andaffiliates from any claims, damages, losses, or expenses (including reasonable attorneys'fees) arising out of Client's breach of these Terms, misuse of the Site, or Client's businessdecisions made in connection with advisory services provided.
11. Third-Party Links
The Site may contain links to third-party websites. ID2Solve is not responsible for thecontent, accuracy, or practices of any third-party sites and does not endorse them.
12. Termination
ID2Solve reserves the right to suspend or terminate access to the Site at any time, for anyreason, without notice. Termination of an advisory engagement will be governed by theterms of the applicable Engagement Agreement.
13. Changes to These Terms
ID2Solve may update these Terms from time to time. The "Last Updated" date at the top ofthis page will reflect the most recent revision. Continued use of the Site after changes areposted constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision willbe limited or eliminated to the minimum extent necessary, and the remaining provisionswill remain in full force and effect.
